Baseline Guard — End User Terms

These End User Terms (“Terms”) govern your installation of and access to Baseline Guard for Jira (“Baseline Guard” or the “App”).

Baseline Guard is provided by Brian Levy, doing business as Levy Automations (“Levy Automations,” “we,” “us,” or “our”).

By installing, purchasing, accessing, or using Baseline Guard, you agree to these Terms. If you are using the App on behalf of an organization, you represent that you are authorized to accept these Terms on that organization’s behalf.

1. Baseline Guard

Baseline Guard is a Jira Cloud application built on the Atlassian Forge platform.

The App analyzes selected information available in a customer’s Jira Cloud environment and produces decision-oriented project briefs based on the Jira evidence available to it.

Baseline Guard is designed to distinguish between conclusions supported by available Jira evidence and conclusions that cannot be reliably supported. The App may therefore decline to produce a project status or other assessment when required information is unavailable, incomplete, or does not satisfy its assessment requirements.

2. Atlassian Marketplace and Jira

Baseline Guard is designed for use with Atlassian Jira Cloud and may be distributed through the Atlassian Marketplace.

Your use of Jira, the Atlassian Marketplace, and other Atlassian services is separately governed by your agreements with Atlassian.

Atlassian is not responsible for Baseline Guard except to the extent expressly provided under Atlassian’s own applicable terms.

Availability and functionality of Baseline Guard may depend on APIs, infrastructure, services, permissions, and other capabilities provided by Atlassian.

3. License to Use Baseline Guard

Subject to these Terms and any applicable Atlassian Marketplace subscription or license, Levy Automations grants you a limited, non-exclusive, non-transferable right to use Baseline Guard for your organization’s internal business purposes during the period in which you have a valid entitlement to the App.

You may allow your authorized personnel to use Baseline Guard through your Jira Cloud environment in accordance with your applicable subscription and Jira permissions.

4. Subscriptions, Trials, and Payment

If Baseline Guard is offered as a paid App, pricing, billing periods, trials, renewals, refunds, and applicable taxes may be administered through the Atlassian Marketplace.

The price and subscription terms displayed through the Atlassian Marketplace at the time of purchase or renewal apply to your subscription.

If a free trial is offered, access may automatically end or convert to a paid subscription in accordance with the terms presented through the Atlassian Marketplace.

We may change pricing for future subscription periods as permitted by Atlassian Marketplace rules and applicable law.

6. Project Briefs and Decision Support

Baseline Guard is a decision-support tool.

Its reports depend on the Jira information available to the App at the time a report is generated.

Baseline Guard does not guarantee that Jira data is accurate, complete, current, or sufficient to support a particular conclusion.

The App is specifically designed to refuse or limit conclusions when required evidence is unavailable or insufficient. A refusal to produce an assessment, including a result indicating that a project is not assessable or has an incomplete baseline, is an intended product behavior and does not by itself constitute a failure of the App.

You remain responsible for reviewing the underlying information and exercising appropriate professional and business judgment.

Baseline Guard is not a substitute for legal, financial, accounting, compliance, engineering, safety, or other professional advice.

7. Artificial Intelligence

Certain Baseline Guard functionality may use AI-assisted generation capabilities provided through the Atlassian Forge platform.

AI-generated language may contain errors, omissions, or unexpected output.

Baseline Guard uses deterministic controls intended to constrain governed conclusions such as project status, trend, confidence, and other evidence-dependent assessments. However, no automated system can guarantee that every generated statement will be error-free.

You are responsible for reviewing App outputs before using them to make significant business decisions or communicating them as authoritative conclusions.

8. Customer Data and Privacy

Our collection, processing, storage, and handling of information through Baseline Guard is described in the Baseline Guard Privacy Policy.

Baseline Guard is built on Atlassian Forge and uses Atlassian-hosted services for application processing and storage.

Baseline Guard does not operate an independently hosted external backend for customer Jira data.

You retain all rights you have in your Jira data.

You grant us the limited right to process information made available to Baseline Guard solely as necessary to provide, secure, support, and operate the App.

We do not acquire ownership of your Jira data.

9. Security

We use reasonable measures appropriate to the nature of Baseline Guard and its Forge-based architecture to protect information processed by the App.

Baseline Guard includes controls intended to enforce Jira project access, user authorization, result ownership, and App licensing.

No software or information system can be guaranteed to be completely secure or continuously available.

You are responsible for maintaining appropriate security for your Atlassian accounts, Jira configuration, users, and credentials.

Account, privacy, and security matters may be submitted privately to help@levyautomations.com.

We will make commercially reasonable efforts to respond to support requests.

Unless we expressly agree otherwise in writing, Baseline Guard does not include guaranteed response times, resolution times, uptime commitments, or service-level agreements.

11. Changes to the App

We may modify, improve, replace, or discontinue features of Baseline Guard from time to time.

We may also make changes when reasonably necessary to address security issues, Atlassian platform changes, legal requirements, reliability, or compatibility.

We will not intentionally make changes designed to materially undermine existing customer rights during a paid subscription period without reasonable justification.

12. Intellectual Property

Baseline Guard, including its software, design, branding, documentation, and other materials created by Levy Automations, is owned by Brian Levy or his licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the App provided by these Terms, no ownership rights in Baseline Guard are transferred to you.

“Atlassian,” “Jira,” and related names and marks are owned by Atlassian or its affiliates. Levy Automations is an independent App provider and is not affiliated with or endorsed by Atlassian except as may be expressly indicated through applicable Atlassian programs.

13. Third-Party Services

Baseline Guard depends on Atlassian products and infrastructure.

We are not responsible for outages, interruptions, changes, errors, security incidents, or other problems caused by Atlassian services or other systems outside our reasonable control.

Changes made by Atlassian to Jira, Forge, Marketplace functionality, APIs, licensing, or other platform services may affect Baseline Guard.

14. Suspension and Termination

Your right to use Baseline Guard may end when:

Where reasonable and permitted, we will attempt to provide notice before suspending or terminating access for reasons within our control.

Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, and governing law provisions, will survive.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASELINE GUARD IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY JIRA PROJECT WILL CONTAIN SUFFICIENT INFORMATION TO GENERATE AN ASSESSMENT, OR THAT EVERY GENERATED BRIEF WILL BE COMPLETE OR ERROR-FREE.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER LEVY AUTOMATIONS NOR BRIAN LEVY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO BASELINE GUARD.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO BASELINE GUARD OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID FOR BASELINE GUARD DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. US $100.

These limitations apply regardless of the legal theory on which a claim is based and only to the extent permitted by applicable law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

17. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws principles.

Subject to any rights or remedies that cannot lawfully be waived, disputes arising out of or relating to these Terms or Baseline Guard will be subject to the jurisdiction of the state and federal courts located in Spokane County, Washington.

18. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will update the effective date above and, where appropriate, provide notice through the Atlassian Marketplace or another reasonable channel.

Your continued use of Baseline Guard after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

19. Entire Agreement

These Terms, together with the Baseline Guard Privacy Policy and any applicable Atlassian Marketplace purchase or subscription terms, constitute the agreement between you and Levy Automations concerning your use of Baseline Guard unless we have entered into a separate written agreement with you.

If a separate written agreement signed by both parties expressly conflicts with these Terms, the signed agreement controls to the extent of that conflict.
